Accipi Survey Respondent Terms of Use
1. About Accipi and these Terms of Use
1.1. Welcome to Accipi (known here as “Accipi”). Accipi is a platform created for researchers and their administrators (“Researchers”) to send out surveys (“Surveys”) to defined or undefined respondents (“Respondents”). Our functionalities intend to streamline workflows, increase productivity and drive survey engagement.
1.2. These Terms of Use (“Terms”) apply to Respondents’ use of, and interaction with, Accipi and the related website, app and/or platform, collectively referred to here as the “Platform”. By using the Platform or otherwise registering with Accipi, you accept these Terms of Use and agree to be bound by them. Please read these Terms carefully.
1.3. Please also see the Accipi Privacy Notice for details of how we will use and process your personal data. Please also see the Accipi Cookie Policy, for more details of how we use cookies and similar technologies.
1.4. When taking part in a Survey you also have the option to register with Accipi. Being registered with Accipi gives you access to additional features and opportunities on the Platform, and will also mean that you may be notified of further Surveys that may be of interest to you.
1.5. PLEASE NOTE: please take note of provisions in section 3 below about other terms and conditions and privacy policies of the Researchers that may be relevant to your participation in a Survey, including section 3.5 about your personal data.
1.6. PLEASE NOTE: please take note of certain key terms below at section 3.6 relating to our Acceptable Content and Behaviour Policy, section 7 and 11 relating to your Warranties and Indemnities, and section 10 relating to our Limitation of Liability.
1.7. Accipi and this Platform is owned and operated by ACCIPI LIMITED, a company incorporated in England with its registered office at The White House, 2 Meadrow, Godalming, Surrey, United Kingdom, GU7 3HN.

2. Registering with Accipi and creating an Account
2.1. When you use the Platform and or respond to a Survey, you will also have the option to register and set up an account with Accipi (your ”Account”). You must be aged 13 years or older to register with us. Those under 18 may only register with Accipi with the permission and under the supervision of a parent or guardian. Only one registration or Account per person is allowed, and you may not impersonate or use any other person’s Account.
2.2. You must provide true, accurate and complete information during registration and keep such information updated throughout the registration period. The Account owner will be responsible for any use of the Account, or use of the Platform through the Account, and/or through use of the login or password. The Account login and password controls the Account and should not be shared with anyone else.
2.3. We may terminate your registration with Accipi and/or suspend your Account or other access to the Platform at any time if in our reasonable opinion you have breached any of the terms, conditions, codes or polices set out in these Terms or otherwise relating to the Platform.
2.4. In any event, we may suspend or terminate your Account and/or your registration of or access to Accipi or use of the Platform at any time for any reason.
3. Participating in Researcher managed Surveys, and your Survey Responses
3.1. When you take part in a Researcher’s Survey (whether registered with Accipi or not), any responses or contributions you make in response to those Surveys are known here as “Survey Responses”. You must be aged 13 years or older to participate in a Survey. Those under 18 may only participate with the permission and under the supervision of a parent or guardian. You may only participate once per Survey, unless the Survey allows otherwise.
3.2. All Surveys (unless specifically noted as being an internal Accipi survey), are designed and issued by, and are under the control of the relevant Researchers. Accipi is not involved in any Survey (other than through the operational facility of the Platform) and is not responsible for the Surveys in any way. The relevant relationship in relation to the Survey is solely between the Researcher and the Respondent. Accipi does not recommend or endorse any Researchers or Surveys in any way.
3.3. Researchers may impose their own terms and conditions related to their Survey. Respondents are advised to read and consider the Researcher terms and conditions before engaging with the Researcher or the Survey.
3.4. Researchers may collect personal data from Respondents when participating in a Survey. Respondents are advised to read and consider the Researcher privacy notices before engaging with the Researcher or the Survey.
3.5. PLEASE NOTE: that any collection and use of personal data by the Researchers, is separate to Accipi’s collection and use of your personal data. Each of Researcher and Accipi will be a separate data controller of your personal data as applicable. We will never share your personal data with Researchers.
3.6. Although the main relationship relating to your participation in a Survey is managed by the Researcher’s terms and conditions, it is also important to Accipi that all Respondents act appropriately when taking part in Surveys. As such, you must ensure that your Survey Responses and other activity on Accipi and the Platform is in compliance with our Acceptable Content and Behaviour Policy. We reserve the right in our absolute discretion to remove or block any Survey Responses that we believe contravene the Acceptable Content and Behaviour, or for any other valid reason.
3.7. Please also note the further warranty provisions set out below that additionally relate to your Survey Responses.
3.8. Accipi will not have access to or use of your individual Survey Responses for any purposes unless set out in the Survey / Researcher terms and conditions. However, we do reserve the right to use Survey Responses, in an anonymised and aggregated form, for our own business purposes including to improve and develop the Platform and services we provide.
4. Notification of other Survey opportunities
4.1. By registering with Accipi, you will have the opportunity to take part in other Surveys from other Researchers.
4.2. From time to time we may notify you of other Surveys that we think may be of interest to you. Selection may be based on a number of factors relating to certain demographics or other criteria of the Researcher and the interpretation of their requirements by Accipi. We may use your registration / Account details, response history, or other data relating to you to consider selecting you for notification about further Surveys. We will never share your personal data with Researchers or other third parties. Please see our Privacy Notice for more details.
4.3. We cannot guarantee that we will notify you of any relevant Surveys. There is no obligation on you to take part in any Survey or submit Survey Responses.
4.4. Accipi does not recommend or endorse any Researchers or Surveys in any way.
5. Rewards
5.1. From time to time, we may offer you certain rewards, discounts, tokens or other offers (the “Rewards”) in relation to your participation in Surveys. You must be registered with Accipi to have the opportunity to receive Rewards.
5.2. Full terms relating to any Rewards will be provided with the promotion of the particular Reward, but in any event any Rewards are provided at our discretion, are non-transferable and no cash alternative will be offered. Accipi is not responsible for any damage, loss, disappointment or injury that may be caused by a Reward.
6. User Content
6.1. Separately from providing Survey Responses to Researchers as above, users may also be able to communicate with Researchers or us via the Platform or directly (collectively “User Content”).
6.2. All User Content and behaviour must be in compliance with our Acceptable Content and Behaviour Policy.
6.3. We are not responsible for any User Content or the actions or behaviors of other users. However, we reserve the right, in our sole discretion (but have no obligation), to restrict, suspend, or terminate your access to all or any part of Accipi and/or Platform, where User Content breaches these Terms.
7. Your Warranties - Survey Responses and User Content
7.1. In addition to any Researcher terms and conditions relating to the Survey Responses that you provide to the Researcher, you also and in any event warrant (promise) to Accipi that to all Survey Responses and User Content will comply with the Acceptable Content and Behaviour Policy.
7.2. Please read the Acceptable Content and Behaviour Policy carefully.
8. Confidentiality
8.1. When participating on Accipi you may see Surveys or other requests for submissions, or we may disclose to you certain information or ideas that are not in the public domain. All such information is commercially sensitive and highly confidential.
8.2. You must not use such confidential information for any purposes other than as indicated to you at the time, you must not disclose it to any other person or entity without our permission, and you must keep it secure and otherwise confidential unless such information or content is released into the public domain by us.
8.3. Any breach of this confidentiality condition may cause us or the Researchers or significant commercial damage.
9. Platform Ownership and intellectual property rights
9.1. Accipi and the Platform, and all content available via the Platform (including but not limited to any text, video, information, messages, articles, music, images, photographs, software and other content) and all related intellectual property rights is/are owned or licensed by us and/or our licensors/researchers/contributors/other users. We and our licensors/researchers/contributors/other users reserve all rights.
9.2. You are only granted a limited, non-exclusive, non-transferable, licence to access Accipi and the Platform within the permitted functionality and on a temporary basis. Nothing in these Terms grants you any rights in the Platform or the related content other than the limited access rights permitted here.
9.3. In any event you may not at any time modify, copy, store, distribute, transmit, display, revise, perform, archive, download, reproduce, publish, license, deep-link, create derivative works from, transfer, scrape, crawl, extract, reutilise, or otherwise use any information, data or content contained in, obtained from, or available through Accipi and/or the Platform unless expressly authorised by us. You may not reproduce, redistribute, decompile, reverse engineer or disassemble any software or other products or processes accessible through Accipi and/or the Platform.
10. Limitation of Liability
10.1. Accipi and/or the Platform is made available to Respondents for free and on an "AS IS" and "AS AVAILABLE" basis, without any representation or endorsement made and, to the maximum extent permitted by applicable law, without further warranty of any kind whether express or implied, including but not limited to the implied warranties of non-infringement, compatibility, security and accuracy.
10.2. Accipi is not responsible for the Surveys or any acts or omissions of the Researchers.
10.3. To the maximum extent permitted by applicable law, we shall not be liable under any contract, tort, breach of statutory duty or strict liability, or other legal or equitable theory for any lost profits, lost data, lost opportunities, costs of cover, exemplary, punitive, special, incidental, indirect or consequential losses, except to the extent that the loss or damage was incurred as a direct result of our fraud or wilful misconduct.
10.4. We do not exclude or limit our liability for death or personal injury arising from our negligence, for any fraudulent misrepresentation made by us or for any other statutory rights which are not capable of being excluded.
11. Your Indemnity to Us
11.1. If you are in breach of these Terms, to the maximum extent permitted by applicable law you will be responsible for and agree to indemnify us in respect of any costs, expenses, claims, proceedings, actions, losses, damages or liabilities (including reasonable legal fees) incurred by us as a direct result of your breach.
12. General
12.1. We reserve the right to vary these Terms from time to time. By continuing to use and access Accipi and/or the Platform you agree to be bound by any variation made by us. It is your responsibility to check these Terms of Use from time to time to assess any such changes.
12.2. These Terms contain the entire understanding and agreement between us and you in relation to your use of Accipi and/or the Platform and supersede and replace any representation, statement or other communication (whether written or otherwise) made by you or us which is not contained here.
12.3. You may not assign or transfer your Account, registration or this agreement to any third party without our permission.
12.4. Should any part of these Terms for any reason be declared invalid or unenforceable by a court of a competent jurisdiction, it shall be deemed to be deleted without affecting the remaining provisions.
12.5. The failure by us to partially or fully exercise any rights or the waiver by us of any breach of these Terms by you shall not prevent a subsequent exercise of such right by us or be deemed a waiver by us of any subsequent breach by you of the same or any other term of these Terms.
12.6. These Terms are governed and construed in accordance with the laws of England and Wales and you consent to the exclusive jurisdiction of the courts of England.

Acceptable Content and Behaviour Policy
Relating to Survey Responses and User Content (by Respondents) and Surveys (by Researchers) (together “Content”)
1. All Content creation and submissions must be accurate and truthful, or contain opinions that are genuinely, honestly and validly held.
2. The Content must be your own original work and you must own the entire right, title and interest in the Content and/or have all necessary licences, rights, consents, clearances and permissions to use and to authorise the use the Content and all intellectual property rights in the Content as described in the relevant Accipi terms and conditions.
3. The Content must not infringe any copyright, trademark, patent, trade secret, or other intellectual or proprietary or privacy right of any entity or individual.
4. You must make sure that you have the permission from, or in relation to, all the people, places and items depicted or referred to in your Content, to enable you to use, represent or refer to them in your Content.
5. The Content must comply with all applicable law or regulation or other restrictions relating to the capture, recording or sharing of the Content.
6. The Content and other behaviour or interactions by you on Accipi and/or the Platform in general must not be defamatory, obscene, indecent, pornographic, sexually explicit, harassing, threatening, offensive, discriminatory, inciting of racial, cultural or religious hatred, in contempt of court, in violation any law or regulation or encourage conduct that would amount to a criminal offence or give rise to a civil liability and/or otherwise be an infringement of any UK or other applicable law or regulation.
7. The Content and other behaviour or interactions by you on Accipi and/or the Platform must not violate the privacy rights or rights of publicity of any person or impersonate or otherwise misrepresent any affiliation, association, or connection with any person or entity.
8. The Content and other behaviour or interactions by you in relation to Accipi and/or on the Platform must not contain any confidential information, nor be in breach of confidence, or in breach of contract or in contempt of court.
9. The Content must not include personal information or data about a person under the age of thirteen (13) years.
